Terms of Service
These terms govern the use of Clerize, a service provided by Digital Forge S.A.S. ("Digital Forge", "we"), with address at Beta 114, San Nicolás de los Garza, Nuevo León, Mexico. By creating an account or using Clerize, the business you represent ("Customer", "you") accepts these terms. If you accept on behalf of a business, you confirm you are authorized to bind it. The Spanish version prevails.
1. The service
Clerize is a web application that lets businesses manage conversations with their customers on WhatsApp, Messenger and Instagram in one inbox, with optional AI replies, automations, broadcasts with approved templates and payment links. Features may vary by plan and may change over time.
2. Accounts
- You must provide accurate information and keep it up to date.
- You are responsible for your users, their credentials and everything done from your account. Enable two-factor authentication and notify us promptly of any unauthorized access.
- Clerize is for businesses and professionals. Users must be at least 18 years old.
3. Connecting Meta channels
- You connect your own WhatsApp Business Account, Facebook Pages and Instagram accounts through Meta's official signup. They remain yours; you authorize us to operate them on your behalf to provide the service.
- You must comply with Meta's terms and policies, including the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy and Meta's Terms of Service. In particular, you must obtain your customers' opt-in before messaging them on WhatsApp, honor opt-out requests and respect the messaging windows Meta sets.
- Meta charges for WhatsApp conversations and messages directly to the payment method on your WhatsApp Business Account. These charges are separate from the Clerize subscription.
- Meta may limit, suspend or change its services, your phone numbers' quality rating or messaging limits at its discretion. We are not responsible for decisions Meta makes about your accounts.
4. Plans, trial and payment
- New accounts may start with a 14-day free trial without a card. When the trial ends, the account needs a paid plan to keep using Clerize.
- Plans are billed monthly in advance, in Mexican pesos, at the prices shown on clerize.com at the time of purchase. Payment is processed by Stripe (card) or by SPEI transfer.
- Prices include VAT only where stated. We will send the CFDI invoice for your payments when you provide your tax details.
- We may change prices with at least 30 days' notice; the new price applies from your next billing period after that notice.
- If a payment fails, we may suspend the account after notifying you until it is paid.
5. Cancellation
You can cancel at any time from the app or by writing to legal@digitalforge.mx. Cancellation takes effect at the end of the current billing period, and paid periods are not refunded except where the law requires it. After the account closes, you have 30 days to request an export of your data, after which it is deleted as described in the Privacy Policy.
6. Acceptable use
You must not use Clerize to:
- Send spam, unsolicited bulk messages or messages to people who have not opted in.
- Sell or promote products or services prohibited by Meta's Commerce Policy or by law.
- Send unlawful, fraudulent, deceptive, harassing, hateful or infringing content, or content that exploits minors.
- Request sensitive personal data (health, card numbers, government IDs, passwords) unless the law allows it.
- Attempt to access other customers' data, overload, probe or reverse-engineer the service, or bypass its limits or security.
We may suspend or remove content or accounts that violate this section, Meta's policies or the law, and will tell you why unless the law or an urgent risk prevents it.
7. AI features
AI replies are generated automatically and can be inaccurate or incomplete. You decide whether AI answers alone, drafts replies for a person to approve, or is turned off, and you remain responsible for the messages sent from your account, including those written by AI. Configure the AI with accurate instructions and review it regularly.
8. Your data
You own the data you and your customers put into Clerize ("Customer Data"). You grant us the rights needed to host and process it only to provide, secure and support the service. For personal data of your customers, you are the controller and we act as your processor, processing it only on your instructions and as described in our Privacy Policy. You are responsible for having a lawful basis and a privacy notice for the data of your customers that you process through Clerize.
9. Payment links
Payment links are created through your own Mercado Pago or Stripe account. Those providers process the payments under their own terms; funds go directly to your account. Clerize does not hold funds and is not a party to your sales, refunds or disputes with your customers.
10. Our intellectual property
Clerize, its software, design and brand belong to Digital Forge. We grant you a non-exclusive, non-transferable right to use the service during your subscription. Feedback you give us may be used freely to improve Clerize.
11. Availability and changes
We work to keep Clerize available and secure, but we do not guarantee uninterrupted or error-free operation. The service depends on third parties, especially Meta, whose outages or changes can affect it. We may update features; if we remove a material feature you pay for, we will give reasonable notice.
12. Limitation of liability
To the extent permitted by law, Digital Forge is not liable for indirect or consequential damages, lost profits, lost sales or lost data, or for acts of Meta, payment providers or other third parties. Our total liability for any claim related to Clerize is limited to the amount you paid us in the 12 months before the event that gave rise to it. Nothing in these terms limits liability that cannot be limited by law.
13. Indemnity
You will hold Digital Forge harmless from third-party claims arising from your content, your messages to your customers, or your breach of these terms, Meta's policies or the law.
14. Suspension and termination
We may suspend or terminate your account for serious or repeated breaches of these terms, non-payment, or when required by law or by Meta. You may stop using Clerize at any time as described in section 5.
15. Changes to these terms
We may update these terms. We will post the new version here and notify account owners at least 15 days before material changes take effect. Continuing to use Clerize after that date means you accept them.
16. Law and jurisdiction
These terms are governed by the federal laws of Mexico. Any dispute will be resolved by the competent courts of Monterrey, Nuevo León, and the parties waive any other jurisdiction that may correspond to them by reason of their present or future domicile.
